Sonia Phanse earned her LL.M in taxation in 2005 and practices in the areas of state and federal taxation, business and estate planning, and tax structured business and real estate transactions, including structured financing. Sonia assists clients in organizing and structuring all types of joint venture relationships, including limited liability companies, corporations and partnerships. In this context, Sonia has negotiated and prepared operating agreements, partnership agreements, shareholder agreements and related employment contracts for large and small business - from start-ups to established institutional clients and publicly traded entities. Sonia's experience includes highly complex real estate and business acquisitions, asset-based and unsecured financing and debt restructuring. Sonia regularly advises clients on matters relating to capital gains planning, like-kind exchanges, cancellation of indebtedness income, U.S. taxation of foreign businesses and individuals, U.S. taxation of foreign-source income earned by resident individuals or U.S. corporations, and other tax centric transactional and business planning matters. Sonia takes special pride in the creative and personal touch she brings to her estate planning practice.
